1 Subject

These general terms and conditions of sale apply without restriction or reservation to all online sales offered by OTR3 on the website http://www.rgentec.com (‘the Website’).

The Website is an e-commerce platform that enables Internet users (‘Buyers’) to purchase various cosmetic products, in particular sports recovery creams, offered for sale on the Website (‘Products’).

The products available for purchase on the website are solely cosmetic products, not medical devices.

The purpose of these terms and conditions is to define the terms and conditions of the online sale and delivery of Products, and to define the rights and obligations of the parties in this context.

The objective of these terms and conditions is to establish the framework for the online sale and delivery of products, as well as to define the rights and obligations of the parties involved.

They can be accessed and printed at any time via a direct link at the bottom of the Website page.

The relevant version of the general terms and conditions is the one available for consultation on the website on the date the buyer places their order.

These general terms and conditions take precedence over any other general or special conditions not expressly approved by OTR3.

3 Legal capacity and acceptance of the general terms and conditions

3.1 Legal capacity

The Website is accessible to:

- Any natural person who has full legal capacity to enter into commitments under these general terms and conditions. Individuals who do not have full legal capacity may only access the Website with the agreement of their legal representative.

- Any legal entity acting through a natural person who has the legal capacity to contract in the name and on behalf of the legal entity.

3.2 Acceptance of the general terms and conditions

Acceptance of these terms and conditions by the Buyer is evidenced by a box to be ticked on the order form. This acceptance must be full and complete. Any conditional acceptance is considered null and void.

A Buyer who does not agree to be bound by these terms and conditions must not place an order on the Website.

4 Registration on the Website

4.1 Placing an order on the Website requires the Buyer to register by filling in the form provided for this purpose on the Website.

In all cases, the Buyer must provide all the information marked as compulsory. Any incomplete registration will not be validated.

Registration automatically leads to the opening of an account in the Buyer's name (the ‘Account’), which enables him/her to manage his/her purchases in a form and using the technical means that OTR3 deems most appropriate.

The Buyer guarantees that all the information he/she provides in the registration form or via the third-party websites referred to above is accurate, up-to-date and sincere and is not misleading in any way.

He/she undertakes to update this information in his/her Account in the event of any changes (in particular: change of postal address), so that it always corresponds to the aforementioned criteria.

The Buyer is informed and accepts that the information entered for the purposes of creating or updating his/her Account is proof of his/her identity. The information entered by the Buyer is binding as soon as it has been validated.

4.2 The Buyer may access his/her Account at any time by logging in using his/her login and password.

The Buyer commits to using his/her Account personally and not to allow any third party to use it in his/her place or on his/her behalf, unless he/she bears full responsibility for doing so.

The Buyer is also responsible for keeping their login and password confidential, as any access to the Website using these credentials will be considered as having been made by the Buyer.

The latter must immediately contact OTR3 using the contact details mentioned in the article ‘Seller's identity and contact details’ herein if he/she notices that his/her Account has been used without his/her knowledge. He/she acknowledges OTR3's right to take all appropriate measures in such a case.

5 Product features

Prior to any online order, and more specifically in application of the provisions of article L111-1 of the French Consumer Code, the Buyer may familiarise himself/herself, on the Website, with the features of each Product he/she wishes to order.

Products are available for online purchase as long as they are in stock, or they may be ordered if that option is available.

The photographs and descriptions of the products available for online purchase are as accurate as possible.

They are binding on OTR3 only to the extent specified. The buyer is informed and acknowledges that certain features of the products, especially their colour, may not

match precisely with the photographs displayed on the website, due to technical limitations.

6 Ordering

6.1 Placing an order

To place an order, the Buyer must select the Product of his/her choice and place it in his/her shopping basket.

The Buyer can review their shopping basket at any time before the order has been completely validated and can correct any errors in the information they have entered.

The order is deemed to have been received by OTR3 when it has access to it.

6.2 Order confirmation

Once the order has been placed, the Buyer will receive an email confirming the order, which:

(i) lists the items of the order and the expected delivery date,

(ii) includes the general terms and conditions in force on the day the order is placed,

(iii) includes the invoice corresponding to the order.

The Buyer must ensure that the details entered in his/her Account are correct and that they allow him/her to receive the order confirmation email. If he/she does not receive the confirmation email, the Buyer must contact OTR3 using the contact details mentioned in the article ‘Seller's identity and contact details’.

OTR3 recommends that the Buyer retains the information contained in the order confirmation.

The order confirmation is deemed to have been received by the Buyer when it can be accessed.

7 Pricing and payment terms

7.1 Pricing

The prices of the Products are displayed on the Website.

They are quoted in euros.

At its sole discretion, OTR3 reserves the right to offer promotional offers or price reductions.

The prices do not include any delivery charges that may apply to the delivery of the Products. Delivery charges are billed on top of the price of the Products. The amount of

the applicable delivery charges will be mentioned before the order is validated by the Buyer.

The applicable price is that displayed on the Website at the time the Buyer's order has been logged.

Please note: Outside the European Union and in the French overseas departments and territories, customs duties or local taxes may be payable and may be invoiced upon receipt of the parcel by the Buyer, in addition to the price paid to OTR3.

OTR3 cannot determine the exact amount of these duties and taxes in advance and therefore cannot inform the Buyer of them prior to placing the order. They remain the responsibility of the Buyer, who is solely responsible for ensuring that any related declarations and/or formalities are carried out properly.

7.2 Payment terms

The full price of the Products is payable when the order is placed.

Payment can be made online:

- by credit card, using the secure online payment service mentioned on the Website,

- by Paypal ,

… or by any other payment methods proposed on the Website at the time the order is placed.

The Buyer guarantees OTR3 that he/she has the necessary authorisations to use the chosen method of payment.

OTR3 reserves the right to suspend or cancel any order and/or delivery in the event of non-payment of any amount due by the Buyer, in the event of a payment incident, or in the event of fraud or attempted fraud relating to the use of the Website.

7.3 Billing

The invoices will be sent to the Buyer by any useful means.

7.4 Retention of title

OTR3 retains full ownership of the Products sold until full payment has been received, including delivery costs.

8 Delivery

8.1 Delivery area

For each Product offered for sale, the Website indicates the possible delivery areas for that Product.

The Products ordered on the Website will be delivered to the address indicated at the time of the Buyer's order as the ‘delivery address’ (which may be different from the billing address), provided that it is located within the possible delivery area for the Products concerned.

8.2 Delivery options

Different delivery options may be possible, depending on the categories of Products and their weight.

Before validating the order, the Buyer is informed of the possible delivery options for the Product ordered, as well as the delivery times and costs corresponding to each of these options.

The Buyer must select the desired delivery option and provide all the information required for the effective delivery of the Product based on this option.

8.3 Delivery times

The Website mentions, for each Product offered for sale, indicative delivery times depending on the territory and delivery option.

The actual delivery time will be confirmed to the Buyer in the order confirmation email.

If delivery is not made within the above period, the Buyer may cancel the order by registered mail with acknowledgement of receipt or in writing on another durable medium if, after having requested OTR3, using the same methods, to make delivery within a reasonable additional period, it has not done so within that period.

OTR3 shall be deemed to have terminated the contract on receipt of the letter or written notification of such termination, unless such termination has been carried out in the meantime.

In the event of termination of the contract in accordance with the above terms, the Buyer will be reimbursed for all sums paid, including delivery costs, no later than 14 (fourteen) days following the date on which the contract was terminated.

In any case, OTR3 reserves the right to contact the Buyer in order to propose alternative solutions for reimbursing the price of the Products and delivery costs. The Buyer must explicitly and on a durable medium express his/her acceptance of the choice of an alternative method of reimbursement.

9 Right of cancellation

9.1 For Buyers acting as consumers

According to Article L221-28 of the French Consumer Code, the buyer is not entitled to a right of cancellation if the products have been unsealed by the buyer following

delivery. Consequently, these products cannot be returned due to hygiene and health protection concerns.

Should the products remain sealed, the buyer is entitled to a 14-day cancellation period from the date of delivery to cancel the contract without justification or incurring penalties, except for the return shipping costs, which are the buyer's obligation. When an order includes multiple products that are delivered separately, the aforementioned time limit begins from the receipt of the last product.

A buyer intending to exercise the right of cancellation should forward the completed cancellation form provided in the general terms and conditions, or a clear declaration of the intent to cancel including the order number, to OTR3 at the address specified in the 'Identity of the seller and contact' article before the deadline expires.

The Products must be returned to OTR3 in their original packaging, without undue delay and no later than 14 (fourteen) calendar days following the notification by the Buyer of his/her wish to cancel. The goods must be returned with a copy of the invoice.

The Buyer is deemed responsible in the event the Products are damaged when they are returned to OTR3.

The Buyer will be reimbursed as soon as possible and at the latest within 14 (fourteen) days from the date of effective receipt by OTR3 of the request for cancellation of all amounts paid for his/her order, less any return costs, which will still be borne by the Buyer. However, OTR3 reserves the right to defer this reimbursement until the Products have been effectively recovered.

9.2 For buyers acting in their professional capacity

The Buyer does not benefit from the right of cancellation if he/she purchases Products as part of his/her main activity and is therefore acting as a company.

10 Legal warranties

The buyer is entitled to legal warranties against non-conformity and hidden defects in the delivered Product, which includes non-conformity issues arising from the product's packaging as ordered on the website.

Should the Buyer discover a defect, non-conformity, or damage in the delivered Product, they must notify OTR3 at the address provided in the 'Seller’s identity and contact details' article. The notification should detail the specific issue encountered and include any pertinent evidence, such as photographs.

OTR3 will arrange the return of the Product using a carrier of its choosing and will notify the Buyer through any practical means. OTR3 will cover the expenses for this return.

OTR3 will carry out the necessary checks and offer the Buyer a replacement Product where possible.

Should replacement of the Product be impossible, OTR3 will refund the Buyer the total price paid for the Product, along with the associated delivery costs, through any appropriate means. This refund will be processed promptly and no later than fourteen (14) days after OTR3 has notified the Buyer of the replacement's unfeasibility.

Reminder of the provisions of the Consumer Code :

Consumers are entitled to a two-year period from the date of delivery of the goods in order to invoke the legal guarantee for conformity in the event of a lack of conformity.

During this period, the consumer is only required to establish the existence of the lack of conformity and not the date of its occurrence.

Where the sales contract provides for the supply of digital content or a digital service on a continuous basis for a period of more than two years, the legal guarantee applies to the digital content or service for the full duration of the provision.

During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or service and not the date of its occurrence.

The legal guarantee of conformity requires the seller to provide all necessary updates to ensure the goods remain in compliance.

The legal guarantee of conformity entitles the consumer to have the goods repaired or replaced within thirty days following their request, at no cost and without significant inconvenience.

When goods are repaired under the legal conformity guarantee, the consumer is entitled to a six-month extension of the original warranty period.

If the consumer asks for the good to be repaired, but the seller requires it to be replaced, the legal guarantee of conformity is renewed for a period of two years from the date on which the good is replaced.

A consumer is entitled to a price reduction while keeping the goods, or to terminate the contract and receive a full refund in return for the goods, if :

1 The seller refuses to repair or replace the goods;

2 The goods will be repaired or replaced within thirty days;

3 The repair or replacement of the goods causes a major inconvenience to the consumer, in particular where the consumer bears the cost of taking back or removing the non-conforming goods, or if he/she bears the cost of installing the repaired or replacement goods;

4 The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring it into conformity.

A consumer is entitled to a price reduction or contract termination if the non-conformity of the goods is severe enough to warrant an immediate price reduction or contract termination.

In this case, the consumer is not obliged to ask for the goods to be repaired or replaced beforehand.

The consumer does not have the right to cancel the sale if the lack of conformity is minor.

Any period during which the goods are immobilised with a view to their repair or replacement suspends the warranty that was in force until the delivery of the repaired goods.

The rights mentioned above result from the application of articles L. 217-1 to L. 217-32 of the French Consumer Code

A seller who obstructs the implementation of the legal guarantee of conformity in bad faith is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual sales (article L. 241-5 of the French Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects under articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect.

This guarantee gives the right to a price reduction if the item is kept or to a full refund against return of the item.

11 Buyers' obligations

Buyers are solely responsible for the use they make of the Products. It is up to them to check the suitability of the Products for their specific needs before purchasing them.

They must also take the necessary steps to back up by their own means the information in their Account that they deem necessary, no copy of which will be provided to them.

Finally, it is the responsibility of Buyers to take all appropriate measures to protect their own data on their computer equipment against any attack.

12 OTR3's liability

12.1 OTR3 undertakes to carry out regular checks to verify the operation and accessibility of the Website. In this respect, OTR3 reserves the right to temporarily interrupt access to the We

held liable for temporary difficulties or impossibilities in accessing the Website due to circumstances beyond its control, force majeure or disruptions to telecommunications networks.

12.2 OTR3 may not be held liable for non-performance or delay in performance of sales contracts due to circumstances beyond its control or to force majeure, as defined in article 1218 of the French Civil Code.

12.3 In any event, the liability that may be incurred by OTR3 hereunder is expressly limited to proven direct damage suffered by Buyers.

13 Intellectual property

The systems, software, structures, infrastructures, databases and content of all kinds (text, images, visuals, music, logos, trademarks, databases, etc.) used by OTR3 within the Website are protected by all intellectual property rights or database producers' rights in force. Any disassembly, decompilation, decryption, extraction, reuse, copying and, more generally, any act of reproduction, representation, distribution or use of any of these elements, in whole or in part, without the authorisation of OTR3 is strictly prohibited and may result in legal proceedings.

14 Personal data

OTR3 undertakes to comply with all legal and regulatory obligations incumbent upon it in terms of the protection of personal data, in particular Law 78-17 of 6 January 1978 in its latest amended version known as the Loi Informatique et Libertés and Regulation EU 2016/679 of the European Parliament and of the Council of 27 April 2016.

15 Advertising

OTR3 reserves the right to place advertising or promotional messages on any page of the Website and in any communication with Buyers, in a manner and under terms solely determined by OTR3.

16 Links and third-party websites

OTR3 may not under any circumstances be held responsible for the technical availability of websites or mobile applications operated by third parties (including any of its partners) which the Buyer may access via the Website.

OTR3 accepts no responsibility for the content, advertising, products and/or services available on such third-party sites and mobile applications, which are governed by their own terms of use.

Nor is OTR3 responsible for transactions between the Buyer and any advertiser, professional or trader (including any of its partners) to whom the Buyer may be directed via the Website and shall not be a party to any disputes with these third parties concerning the delivery of products and/or services, guarantees, declarations and any other obligations to which these third parties are bound.

17 Prohibited behaviours

17.1 The following are strictly prohibited (i) any behaviour likely to interrupt, suspend, slow down or prevent the proper functioning of the Website, (ii) any intrusion or attempted intrusion into OTR3's systems, (iii) any misappropriation of the Website's system resources, (iv) any action likely to impose a disproportionate burden on the Website's infrastructure, (v) any infringement of security and authentication measures, (vi) any acts likely to infringe the financial, commercial or moral rights and interests of OTR3 or of the users of its Website, (vii) any practice diverting the Website for purposes other than those for which it was designed and finally, more generally, (viii) any breach of these general terms and conditions or of the laws and regulations in force.

17.2 Similarly, it is strictly forbidden to monetise, sell or grant access to all or part of the Website or the information it contains.

17.3 In the event of a breach of any of the provisions of this article or, more generally, of laws and regulations, OTR3 reserves the right to take all appropriate measures and to initiate any legal action.

18 Amendments

OTR3 reserves the right to amend these general terms and conditions of sale at any time. In this case, the applicable terms and conditions will be those in force on the date of the Buyer's order.

19 Language

In the event of a translation of these general terms and conditions into one or more languages, the language of interpretation will be French in the event of a contradiction or dispute over the meaning of a term or provision.

20 Registration on the ‘no cold calling’ list

In accordance with Law No. 2014-344 of 17 March 2014, the Buyer is hereby informed that, as a consumer within the meaning of the Consumer Code, he/she has the option of registering free of charge on the BLOCTEL no cold calling list (www.bloctel.gouv.fr) in order to no longer be contacted by telephone by a company with whom he/she has no current contractual relationship.

21 Mediation

The Buyer, if acting as a consumer, has the right to have recourse, free of charge, to a consumer mediator (consumer ombudsman) with a view to the amicable resolution of any dispute relating to the performance of the present contract which may arise between the Buyer and OTR3, under the conditions set out in Articles L611-1 et seq. of the Consumer Code.

22 Governing law and jurisdiction

These terms and conditions are governed by French law.

If the Buyer is acting in a professional capacity, in the event of a dispute between the Buyer and OTR3, and in the absence of an amicable agreement within 2 months following the first notification, the dispute shall be subject to the exclusive jurisdiction of the courts of Paris (France), unless mandatory provisions state otherwise.
